SEC Opens 5 Year Pilot for Tokenized US Stocks on Permissioned VenuesSECZCOINCRCLHOOD

The US Securities and Exchange Commission established a conditional exemption allowing tokenized National Market System stocks to trade on-chain through permissioned automated market maker venues. These tokens must grant the same dividends and voting rights as traditional equities, while issuers retain the right to opt out of the system within 30 days.

First tokenized stock venues may emerge next quarter, creating a U.S. regulatory path for firms like Securitize to operate without waiting for congressional market structure laws. The 5 year relief excludes synthetic "price tokens" and limits trading to permissioned participants who undergo identity verification to avoid unregulated 24 hour equity trading.

Analyst reports from Goldman Sachs and Citizens indicate the framework benefits Coinbase and Circle if USDC serves as the settlement rail. Robinhood would need to modify its existing offshore stock-token products to provide full shareholder rights to comply with SEC ownership requirements.
