Anthropic IPO Filing Formalizes 50.1% Founder Control via New LLCPVT:ANTH

The AI startup's vision for its debut as a public company includes a warning that shareholder profits could be secondary to its internal mission of promoting the public good. In filings for its upcoming IPO, Anthropic has formalized the creation of a 'Founder LLC' that grants CEO Dario Amodei and six other co-founders 50.1% of the total voting power over most corporate matters. This structure is designed to preserve a 'low-ego, truth-seeking environment' by insulating leaders from market pressures and the demands of public equity holders.

The seven co-founders collectively own about 14% of the company, with individuals holding roughly 2% each, yet they will maintain majority control via this special class of shares. Anthropic is targeting a valuation of at least $1.5T for the listing, which is expected in late October or November, and may seek to raise $100B from institutional investors. While founders' board seats will increase to three, the company's independent Long-Term Benefit Trust continues to appoint a majority of the board seats to oversee its safety mission.
